The draft revised Capital Markets Supervision Policy Statement No. 5 (“Policy”) on the “Minimum Requirements for Capital Raising Through the Offer of Shares” sets out the minimum regulatory requirements for companies seeking to raise capital through the offer of shares in Fiji. It is intended to promote transparent and orderly capital-raising practices, strengthen the quality of information available to investors, and support confidence in the integrity and development of Fiji’s capital markets.
Following earlier stakeholder consultation, submissions received have been duly reviewed by the Reserve Bank of Fiji (“Reserve Bank”). The Reserve Bank wishes to advise that comments have been incorporated into the draft revised Policy.
The draft revised Policy has also been aligned with international standards and best practices from selected relevant jurisdictions and will be issued pursuant to Section 3(1)(a) of the Reserve Bank of Fiji (Capital Markets and Securities Industry) Regulations 2015.
The Reserve Bank further invites existing and prospective issuers of shares in Fiji to provide feedback on the draft revised Policy, which can be accessed at (https://www.rbf.gov.fj/core-functions/financial-stability/regulation/supervision-policies-under-consultation/).
